Terms & Conditions

These Terms and Conditions constitute a legally binding agreement between you and Tadeed Strategic Services LLC regarding your access to and use of Connect.

Agreement

These Terms and Conditions constitute a legally binding agreement between you and Tadeed Strategic Services LLC regarding your access to and use of Connect.

Connect is a software-as-a-service platform offering digital business cards, QR codes, document sharing, digital profiles, team-management functions, links, analytics, and related features.

By creating an account, purchasing a subscription, clicking an acceptance button, accessing the Platform, or using any Connect service, you confirm that:

  • You have read and understood these Terms.
  • You agree to be bound by these Terms.
  • You have legal capacity to enter into this agreement.
  • If acting for an organization, you have authority to bind that organization.
  • If you do not agree, you must not access or use Connect.

Definitions

For these Terms:

  • “Account” means a registered Connect account.
  • “Administrator” means a person authorized to manage a Customer’s account.
  • “Customer” means a person or organization subscribing to or using Connect.
  • “Free Plan” means a plan provided without a subscription fee.
  • “Paid Plan” means a subscription requiring payment.
  • “Platform” or “Service” means Connect and its related websites, applications, software, and functionality.
  • “Subscription” means the right to use a Paid Plan for a specified billing period.
  • “Team Member” means a person invited to use an organizational account.
  • “User Content” means content created, entered, uploaded, hosted, published, linked, or shared by a user through Connect.
  • “User” means any individual or organization accessing or using the Service.

Eligibility

You may use Connect only if:

  • You are at least 18 years old or have reached the applicable age of legal capacity.
  • You are legally permitted to enter into this agreement.
  • Your use does not violate applicable law.
  • You are not prohibited from receiving the Service under any applicable sanctions, court order, or legal restriction.
  • An organization using Connect is responsible for ensuring that its users are authorized and comply with these Terms.

Account Registration

You must provide accurate, complete, and current registration information.

You must not:

  • Register using false information.
  • Impersonate another person or organization.
  • Use an email address or identity without authorization.
  • Create accounts to evade restrictions or suspension.
  • Transfer or sell an account without our written approval.
  • We may require verification of an account, identity, business, payment method, or authority to act for an organization.

Account Security

You are responsible for:

  • Maintaining the confidentiality of credentials.
  • Using strong and unique passwords.
  • Restricting access to authorized persons.
  • Reviewing user roles and permissions.
  • All activity carried out through your account.
  • Promptly notifying us of suspected compromise or unauthorized use.
  • We are not responsible for loss caused by your failure to secure your credentials, except to the extent liability cannot lawfully be excluded.
  • We may reset credentials, suspend access, or require additional verification where we reasonably suspect a security risk.

Business and Team Accounts

Where an account is created or managed for an organization:

If you use an email address provided by an organization, the organization may claim or control the account where reasonably necessary to administer its Connect subscription.

  • The organization owns and controls the account.
  • Administrators may add, remove, suspend, or manage Team Members.
  • Administrators may access account information and User Content.
  • Administrators may control profiles, branding, permissions, and published content.
  • The organization is responsible for administrator actions.
  • The organization must ensure that it has authority to provide Team Member information.

Licence to Use Connect

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Connect for lawful internal business or professional purposes during the applicable subscription term.

This licence does not transfer ownership of the Platform or its technology.

You must not:

  • Copy, modify, or create derivative works from the Platform.
  • Reverse engineer, decompile, or attempt to extract source code.
  • Circumvent technical restrictions.
  • Rent, lease, sell, resell, sublicense, or commercially exploit the Service except under an authorized reseller agreement.
  • Access the Platform to build a competing service.
  • Use automated systems to scrape or extract data without written permission.
  • Remove intellectual-property notices.
  • Interfere with Platform operation or security.
  • Use Connect beyond purchased usage limits.

Free Plans

We may provide a Free Plan with limited functionality, storage, users, QR codes, documents, analytics, branding options, or other restrictions.

We may:

  • Modify Free Plan features.
  • Introduce or change usage limits.
  • Discontinue a Free Plan.
  • Require users to upgrade.
  • Remove inactive Free Plan accounts after reasonable notice where practicable.
  • A Free Plan does not create a right to continued access to any specific feature.

Paid Plans

Paid Plan features, prices, limits, and billing periods will be displayed at the time of purchase.

Unless otherwise stated:

  • Subscriptions are billed in advance.
  • Subscriptions automatically renew for successive billing periods.
  • Renewal uses the payment method on file.
  • You authorize us and our payment provider to collect applicable charges.
  • You must cancel before renewal to avoid the next charge.
  • Fees are non-refundable except as stated in the Subscription, Billing and Refund Policy or required by law.
  • Usage exceeding plan limits may require an upgrade or additional payment.

Trials and Promotions

We may offer trials, discounts, credits, or promotions subject to specific conditions.

Unless otherwise stated:

  • Trials are limited to one per Customer.
  • Trial features may be restricted.
  • Trial data may be deleted after expiry.
  • A paid subscription may begin automatically after a trial where this was disclosed during registration.
  • Promotional pricing may end at renewal.
  • Promotional offers may not be combined.
  • Abuse of trials or promotions may result in cancellation or suspension.

Taxes

Fees may exclude value-added tax or other applicable taxes unless expressly stated otherwise.

You are responsible for taxes, duties, levies, and governmental charges associated with your purchase, except taxes based on our net income.

Where required, we may collect tax information and issue electronic invoices.

Digital Business Cards and Public Profiles

Connect allows users to create and publish digital business cards and professional profiles.

You are responsible for:

Public profiles may be accessed, copied, indexed, saved, forwarded, or cached by third parties. We cannot control information after it has been shared outside Connect.

  • The accuracy of published information.
  • Obtaining consent to publish another person’s details.
  • Ensuring that logos, photographs, trademarks, and content are authorized.
  • Updating outdated or misleading information.
  • Selecting appropriate privacy and sharing settings.

QR Codes

You are responsible for all content, destinations, files, and links associated with QR codes you create or manage.

You must not use QR codes to:

We do not guarantee that a QR code will remain scannable in every format, size, printing condition, device, application, or environment. You must test QR codes before printing, publishing, or mass distribution.

  • Redirect users deceptively.
  • Deliver malware.
  • Conduct phishing.
  • Collect information unlawfully.
  • Impersonate another entity.
  • Link to illegal or prohibited content.
  • Circumvent security or access restrictions.
  • We may disable a QR code or destination where we reasonably believe it creates legal, security, reputational, or user-safety risk.

Documents and Files

You may upload, host, or share documents subject to plan limits.

You are responsible for:

Connect is not a certified document repository, legal archive, medical record system, financial custody platform, or long-term preservation service unless expressly agreed in writing.

You must not rely on Connect as the only copy of any critical file.

  • File legality and accuracy.
  • Intellectual-property rights.
  • Confidentiality.
  • Access settings.
  • Malware scanning before upload.
  • Maintaining independent backups.
  • Ensuring that sharing complies with privacy obligations.

User Content Ownership

As between you and Tadeed Strategic Services LLC, you retain ownership of your User Content.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, format, and technically modify User Content only as reasonably necessary to:

  • Operate the Service.
  • Provide requested features.
  • Generate previews and thumbnails.
  • Secure and back up the Platform.
  • Prevent abuse.
  • Comply with lawful obligations.
  • Improve technical performance using aggregated or de-identified information.
  • This licence continues only for as long as reasonably necessary to provide the Service, comply with law, or complete backup deletion cycles.

User Content Responsibilities

You represent and warrant that:

  • You own User Content or have all necessary permissions.
  • User Content does not violate law or third-party rights.
  • User Content is accurate where accuracy is legally or commercially important.
  • You have provided required notices and obtained required consents.
  • User Content does not contain malicious code.
  • Uploading and sharing User Content does not breach confidentiality duties.
  • We do not routinely pre-screen User Content and do not endorse it.

Acceptable Use Policy

You must not use Connect to create, upload, publish, distribute, promote, facilitate, or link to content or activity that:

18.1 Is illegal or harmful

This includes:

  • Fraud.
  • Phishing.
  • Identity theft.
  • Money laundering.
  • Terrorism or extremist activity.
  • Human exploitation.
  • Illegal gambling.
  • Sale of illegal goods or services.
  • Instructions intended to facilitate serious wrongdoing.
  • Threats, harassment, stalking, or violence.

18.2 Violates intellectual-property rights

You must not infringe:

  • Copyright.
  • Trademark rights.
  • Patent rights.
  • Design rights.
  • Trade secrets.
  • Database rights.
  • Publicity or personality rights.

18.3 Violates privacy or confidentiality

You must not:

  • Publish Personal Data without authority.
  • Upload confidential information unlawfully.
  • Collect data through deceptive QR codes or forms.
  • Monitor individuals unlawfully.
  • Share access credentials.
  • Disclose private communications without authorization.

18.4 Threatens security

You must not:

  • Upload malware, ransomware, spyware, or malicious code.
  • Test vulnerabilities without written authorization.
  • Attempt unauthorized access.
  • Interfere with network availability.
  • Overload the Platform.
  • Evade rate limits.
  • Distribute harmful links.
  • Use automated bots in an unauthorized manner.

18.5 Is deceptive or misleading

You must not:

  • Impersonate another person or organization.
  • Misrepresent affiliation or authority.
  • Create deceptive business cards.
  • Publish false qualifications.
  • Use misleading QR-code destinations.
  • Operate pyramid schemes.
  • Engage in deceptive marketing.

18.6 Constitutes spam

You must not use Connect for:

  • Unsolicited bulk messaging.
  • Purchased contact lists used without lawful permission.
  • Repetitive or abusive promotions.
  • Email-address harvesting.
  • Messages that violate applicable marketing laws.

18.7 Is abusive or offensive

You must not publish content that unlawfully promotes:

  • Discrimination.
  • Hatred.
  • Harassment.
  • Exploitation.
  • Graphic violence.
  • Sexual abuse.
  • Abuse of minors.

18.8 Circumvents restrictions

You must not:

  • Create replacement accounts after suspension.
  • Conceal prohibited activity.
  • Manipulate analytics.
  • Misuse trials.
  • Bypass plan limits.
  • Share an account beyond authorized users.

Monitoring and Enforcement

We may investigate suspected violations and may:

  • Request information.
  • Remove or restrict content.
  • Disable links or QR codes.
  • Limit functionality.
  • Suspend or terminate accounts.
  • Preserve relevant records.
  • Report unlawful activity to authorities.
  • Cooperate with lawful investigations.
  • We are not obligated to monitor all content and are not responsible for failing to identify every violation.

Reporting Violations

Suspected abuse, unlawful content, security issues, or infringement may be reported to info@tadeed.com.

A report should include:

  • The reporter’s name and contact details.
  • The affected URL, QR code, account, or content.
  • A clear explanation of the issue.
  • Supporting evidence.
  • A statement of authority where the report concerns third-party rights.
  • We may request further information before taking action.

Intellectual Property

Connect, including its software, interfaces, designs, databases, documentation, branding, logos, trademarks, text, and underlying technology, is owned by or licensed to Tadeed Strategic Services LLC.

Except for the limited licence granted under these Terms, no rights are transferred to you.

“Connect,” “Tadeed,” and related branding may not be used without written authorization.

Feedback

If you provide suggestions, ideas, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation.

This does not transfer ownership of your confidential User Content.

Third-Party Services

Connect may integrate with third-party services, payment providers, websites, applications, or links.

Your use of a third-party service may be governed by separate terms and privacy policies.

We do not control and are not responsible for:

  • Third-party availability.
  • Third-party security.
  • Third-party content.
  • Third-party data practices.
  • Changes made by third parties.
  • Loss caused by a third-party service.
  • We may modify or discontinue an integration if the third-party service changes or becomes unavailable.

Service Changes

We may add, modify, replace, limit, or discontinue features to:

  • Improve the Platform.
  • Address security issues.
  • Meet legal obligations.
  • Reflect technical changes.
  • Manage third-party dependencies.
  • Protect the viability of the Service.
  • Where a change materially reduces a core Paid Plan feature, we will provide reasonable notice where practicable.

Availability and Maintenance

We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, or continuously available access.

Access may be affected by:

  • Planned maintenance.
  • Emergency maintenance.
  • Internet failures.
  • Cloud-provider outages.
  • Cyberattacks.
  • Third-party services.
  • Software defects.
  • Events beyond reasonable control.
  • Unless a separate signed Service Level Agreement applies, no uptime commitment or service credit is provided.

Backups and Data Loss

We may maintain backups for operational resilience, but backups are not guaranteed to restore every item or the latest version.

You must maintain independent copies of important information.

To the maximum extent permitted by law, we are not responsible for loss of User Content caused by:

  • User deletion.
  • Incorrect permissions.
  • Account compromise caused by the user.
  • Unsupported file types.
  • Third-party failure.
  • Expired or terminated accounts.
  • Events beyond reasonable control.

Beta and Experimental Features

Features labelled beta, preview, pilot, experimental, or early access may:

  • Be incomplete.
  • Contain errors.
  • Change without notice.
  • Be discontinued.
  • Have lower availability.
  • Be subject to additional conditions.
  • Such features are provided for evaluation and should not be used for critical operations.

Suspension

We may immediately suspend some or all access where we reasonably believe:

  • You breached these Terms.
  • Payment is overdue.
  • Your use creates a security risk.
  • Your activity may harm another person.
  • Suspension is required by law.
  • Your account is involved in fraud or abuse.
  • Continued access may expose us to liability.
  • Where appropriate, we may give you an opportunity to correct the violation.
  • We are not responsible for loss caused by a suspension made reasonably under these Terms.

Termination by You

You may stop using Connect and request account closure at any time.

Termination does not automatically:

  • Entitle you to a refund.
  • Cancel charges already due.
  • Remove legal retention obligations.
  • Reverse completed transactions.
  • Remove content copied by third parties.
  • You should export required content before closing your account.

Termination by Us

We may terminate an account where:

  • A material breach remains unresolved.
  • Prohibited activity occurs.
  • Fees remain unpaid.
  • The account creates serious security or legal risk.
  • We are legally required to terminate it.
  • The Service or relevant plan is discontinued.
  • Where reasonable, we will provide notice.

Effect of Termination

After termination:

  • Your licence ends.
  • Access may stop immediately.
  • Public links and QR codes may stop working.
  • User Content may be scheduled for deletion.
  • Unpaid fees remain due.
  • Clauses intended to survive will remain effective.
  • Clauses concerning ownership, payments, disclaimers, liability, indemnification, confidentiality, dispute resolution, and governing law survive termination.

Confidentiality

Each party may receive confidential information from the other.

The receiving party must:

  • Use confidential information only for the agreed purpose.
  • Protect it using reasonable care.
  • Restrict access to persons who need it.
  • Not disclose it except as permitted by law or agreement.
  • Confidential information does not include information that:
  • Is publicly available without breach.
  • Was already lawfully known.
  • Is independently developed.
  • Is lawfully received from a third party.
  • A party may disclose confidential information where legally required, subject to lawful notice where permitted.

Privacy

Our collection and handling of Personal Data are described in the Connect Privacy and Cookie Policy.

You must comply with applicable privacy law when using Connect, particularly when publishing contact details, inviting Team Members, collecting scan information, or uploading documents containing Personal Data.

No Professional Advice

Connect is a technology platform.

Content, templates, analytics, support responses, or information provided through Connect do not constitute legal, tax, accounting, cybersecurity, medical, financial, or other regulated professional advice.

You should obtain independent professional advice where needed.

Warranties

You warrant that:

  • You have authority to accept these Terms.
  • Your use will comply with applicable law.
  • You have rights to User Content.
  • Your billing information is accurate.
  • Your use will not infringe third-party rights.
  • You will not use Connect for prohibited purposes.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, Connect is provided “as is” and “as available.”

We disclaim implied warranties, including warranties of:

  • Merchantability.
  • Fitness for a particular purpose.
  • Non-infringement.
  • Accuracy.
  • Availability.
  • Security.
  • Compatibility.
  • Error-free operation.
  • We do not warrant that:
  • The Service will meet every requirement.
  • All defects will be corrected.
  • Every QR code will work in every environment.
  • User Content will never be lost.
  • Analytics will be complete or error-free.
  • Third-party services will remain available.
  • Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, Tadeed Strategic Services LLC and its affiliates, officers, directors, employees, contractors, and suppliers will not be liable for:

Nothing in these Terms limits liability that cannot lawfully be limited, including liability arising from fraud, wilful misconduct, or another category that applicable law prohibits us from excluding.

  • Indirect or consequential loss.
  • Loss of profit.
  • Loss of revenue.
  • Loss of business opportunity.
  • Loss of goodwill.
  • Loss of anticipated savings.
  • Loss or corruption of data.
  • Business interruption.
  • Third-party claims arising from User Content.
  • Unauthorized access resulting from your failure to secure an account.
  • To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Service will not exceed the greater of:
  • The fees actually paid by the affected Customer to Connect during the twelve months immediately preceding the event giving rise to the claim; or
  • SAR 500 where the affected user used only a Free Plan.
  • The limitations apply regardless of the legal theory of liability and even where a remedy fails its essential purpose.

Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Tadeed Strategic Services LLC and its affiliates, officers, employees, contractors, and representatives from claims, liabilities, damages, penalties, losses, and reasonable costs arising from:

  • Your User Content.
  • Your misuse of Connect.
  • Your breach of these Terms.
  • Your violation of law.
  • Your infringement of third-party rights.
  • Your failure to obtain required permissions.
  • Activity carried out through your account.
  • A dispute between you and another user or third party.
  • We may control the defence of a claim covered by this clause, and you agree to provide reasonable cooperation.

Force Majeure

Neither party will be liable for delay or failure caused by circumstances beyond reasonable control, including:

  • Natural disasters.
  • War.
  • Civil unrest.
  • Government action.
  • Labour disputes.
  • Epidemics.
  • Internet or telecommunications failures.
  • Utility failures.
  • Cloud-provider outages.
  • Cyberattacks not caused by a party’s failure to use reasonable safeguards.
  • Payment obligations for services already provided are not excused by force majeure.

Governing Law

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles.

Dispute Resolution and Jurisdiction

Before starting formal proceedings, the parties should attempt in good faith to resolve a dispute through written communication.

A dispute notice should describe:

  • The nature of the dispute.
  • Relevant facts.
  • The requested resolution.
  • Supporting documentation.
  • If the dispute is not resolved, it will be submitted to the competent courts in Dammam, Kingdom of Saudi Arabia, unless mandatory law requires another forum.
  • Nothing prevents either party from seeking urgent injunctive or protective relief.

Consumer Rights

Nothing in these Terms limits rights granted to a consumer under mandatory applicable law.

Where these Terms conflict with a non-waivable consumer right, the mandatory legal provision will prevail only to the extent of the conflict.

Electronic Communications

You agree that notices, agreements, invoices, disclosures, and other communications may be provided electronically through:

  • Email.
  • Account notifications.
  • Website notices.
  • In-Platform messages.
  • You are responsible for maintaining a current email address and reviewing account communications.
  • Electronic records and acceptance methods may be used as evidence of transactions and agreement, subject to applicable law.

Changes to These Terms

We may update these Terms to reflect changes in:

Where a change materially affects an active Paid Subscription, we will provide reasonable notice where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.

  • Law.
  • The Service.
  • Pricing.
  • Security requirements.
  • Business practices.
  • Third-party services.
  • The revised Terms will be published with an updated date.

Assignment

You may not assign or transfer these Terms without our prior written approval.

We may assign these Terms as part of a merger, reorganization, corporate restructuring, financing, or sale of business or assets, subject to applicable law.

No Waiver

Failure to enforce a provision is not a waiver of that provision or any other right.

Severability

If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will continue in effect.

Entire Agreement

These Terms, the Privacy and Cookie Policy, the Subscription, Billing and Refund Policy, applicable order forms, and any signed addenda constitute the entire agreement regarding Connect.

A signed order form or negotiated agreement will prevail over these online Terms only where it expressly states that it overrides a specific provision.

Language

These Terms may be made available in Arabic and English.

Before publication, the company should designate which language controls in the event of inconsistency. Subject to applicable Saudi law, the Arabic version should ordinarily be designated as the authoritative version for use in the Kingdom.
